Acuren Corporation (NYSE: TIC), a prominent provider of non-destructive testing (NDT) and inspection services, today announced the conclusion of the 60-day "go-shop" period related to its previously disclosed Agreement and Plan of Merger with NV5 Global, Inc. (Nasdaq: NVEE), which was initially dated May 14, 2025.
The "go-shop" period, which allowed NV5 to solicit and engage in negotiations with third parties regarding potential acquisition offers, expired at 11:59 p.m. ET on July 14, 2025. During this stipulated period, NV5 did not receive any "NV5 Superior Proposal," as defined within the Merger Agreement.
With the expiration of the "go-shop" phase, the transactions contemplated by the Merger Agreement are now expected to close in August 2025. The finalization of the merger remains subject to customary closing conditions, including securing approvals from the stockholders of both Acuren and NV5, as well as obtaining necessary regulatory clearances. This development marks a significant step towards the integration of Acuren's extensive NDT capabilities within NV5 Global's diversified professional and technical services portfolio.
